Synchronoss agrees to buy FusionOne for $40M

BRIDGEWATER, N.J. — Synchronoss Technologies Inc., which provides transaction management software for communication companies, said Wednesday it agreed to buy privately held FusionOne Inc. for at least $40 million.

FusionOne, based in San Jose, Calif., also provides transaction management technology to communications companies, cable operators and retailers. Its mobile content transfer technology lets users access their content across different types of devices. Its customers include Verizon Wireless and AT&T.

Synchronoss, based in Bridgewater, said it will pay about $32 million in cash and $8 million in stock. It may also pay another $35 million in cash and stock if FusionOne’s business meets performance goals through 2011.

Synchronoss said it expects the acquisition to be “at least neutral” to adjusted earnings in the second half of this year and to increase them in 2011.

The deal is expected to close later this month.
